Tax Exempt Organizations and Trade Associations

The U.S. government, through the Internal Revenue Code, recognizes that non-profit organizations confer many benefits on society and therefore offers significant tax benefits for organizations that qualify for tax-exempt status; however, in order to obtain and maintain that status tax-exempt entities must comply with a complicated regulatory scheme.

The attorneys at TCLG have the experience necessary to properly advise and represent the firm’s tax-exempt clients. One of the firm’s clients is the International Association of Certified Home Inspectors, a trade association with more than 8,000 members. Attorneys at TCLG also represent a number of other tax-exempt organizations, including The Children’s Diabetes Foundation at Denver, SINAPU, the Space Science Institute, and Gilpin Ambulance, Inc.

Working with local counsel when necessary, our attorneys have represented tax-exempt clients well in litigation and arbitration actions across the United States. In addition, the firm counsels its tax-exempt clients on the many legal issues they may face. These include antirust law, conflicts of interest, contracts, duties of directors, employment and labor law issues, intellectual property issues, real estate issues, unfair competition, Internet law, anti-spam laws such as the CAN SPAM Act, telephone solicitation laws, “junk fax” laws, privacy issues, the Americans with Disabilities Act, and many other laws and regulations.

TCLG attorneys regularly counsel clients considering forming a tax-exempt entity and assist in obtaining tax-exempt status from the Internal Revenue service. We also advise our tax-exempt clients on issues such as cash and non-cash donations, excess compensation, private benefit, and private inurement.

Mark Cohen prosecutes trademark and copyright applications for the firm’s tax-exempt clients when appropriate, and represents them before the U.S. Trademark Trial and Appeal Board. He has represented the firm’s tax-exempt clients in unfair competition litigation in several jurisdictions.
